These Terms of Service ("Terms") govern access to and use of Volent.

1. The Operator, the Service and acceptance

Volent ("Volent" or "the Service") is a hosted project management service providing boards, backlogs, sprints, work items, team chat and file attachments.

The Service is provided by Volent ("Operator").

In these Terms:

  • "Customer" means the organisation or person that creates a workspace.
  • "User" means an individual using a workspace.
  • "Workspace" means a tenant, reachable at its own subdomain.
  • "Customer Data" means everything a Customer or its Users put into a Workspace.

By creating an account, by accepting an invitation to a Workspace, or by using the Service, you accept these Terms. If you act for an organisation, you confirm that you are authorised to accept these Terms on its behalf, and "Customer" then means that organisation. If you do not accept these Terms, do not use the Service.

Personal data is handled as described in the Privacy Policy. Cookies and browser storage are described in the Cookie Policy. Where the Operator processes personal data on a Customer's instructions, the Data Processing Agreement applies. Operator identification details are published in the Imprint.

2. Eligibility

You must be at least 16 years old to use the Service. The Service is a business tool and is not directed to children.

You must have the legal capacity to enter into a binding agreement, and, if you accept these Terms for an organisation, the authority to bind it.

Registration details you provide must be accurate and kept up to date. You are responsible for the confidentiality of your credentials and for activity carried out through your account.

3. Accounts, workspaces and roles

An account is global: one account may belong to several Workspaces.

A Workspace is a separate tenant with its own subdomain and its own data. Access to a Workspace is granted by that Workspace's administrators.

The Customer's administrator controls the Workspace: who is invited, what role each member holds, what each member may see and do, and whether a member's access is removed. The Operator does not adjudicate disputes between a Customer and its Users about access. If your access to a Workspace is withdrawn by its administrator, address the matter to that administrator.

A Customer is responsible for its Users' compliance with these Terms.

4. Provision of the Service, changes and availability

The Service is provided as-is. Features may be added, changed, restricted or withdrawn at any time, and data structures may change between releases.

There is no availability commitment, no service level agreement, no uptime target and no support response time. Maintenance may occur without notice, and the Service may be unavailable.

Do not use the Service as the sole store of information you cannot afford to lose. The Operator does not operate automated backups of Customer Data, and no restoration service is offered. Keep your own copies of anything critical.

The Operator may discontinue the Service in whole or in part at any time. Where practicable, the Operator will give advance notice by email to Workspace administrators.

5. Plans and payment

Prices are published on the pricing page.

Plan terms, prices and the applicable purchase terms are presented for acceptance before any charge is made; without that acceptance no amount is charged. Use of the Service does not by itself create a payment obligation, a subscription or a renewal.

Paid plans will be sold through a Merchant of Record acting as reseller. The Merchant of Record, and not the Operator, will be the seller of record for those transactions and will be responsible for order processing, invoicing and the collection and remittance of VAT and equivalent taxes.

The Merchant of Record's own terms will apply to the purchase, alongside these Terms for use of the Service.

6. Customer Data

As between the Customer and the Operator, the Customer owns Customer Data and retains all rights in it. These Terms transfer no ownership of Customer Data to the Operator.

The Customer grants the Operator a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display and otherwise process Customer Data strictly to the extent necessary to operate, secure, maintain and support the Service, and to comply with law. The licence lasts as long as the Customer Data is held for the Customer and ends when it is deleted.

The Operator does not use Customer Data to train artificial intelligence or machine learning models, and does not sell Customer Data or make it available for advertising.

The Customer is responsible for the lawfulness of Customer Data and for having a legal basis for the personal data it places into a Workspace. Roles and obligations for personal data processing are set out in the Data Processing Agreement.

7. Optional AI feature

The Service may offer AI-assisted text generation. The feature exists only if the Operator has configured an API key for it; where no key is configured the feature is unavailable and the control is not shown.

Where the feature is available, it acts only when a User invokes it. When a User invokes it, the content of that request is transmitted to Google's Gemini API for processing and the generated result is returned to the Workspace. No content is sent to that API unless a User triggers the feature.

Generated output is produced automatically. It is not reviewed or verified by the Operator, and it may be inaccurate, incomplete or unsuitable for the intended purpose. The User remains responsible for reviewing generated output before relying on it, and for any content the User chooses to keep in a Workspace.

Users should not submit content to the feature that they are not permitted to disclose to a third-party processor.

8. Acceptable use

You must not, and must not permit any User to:

  • upload, store or transmit content that is unlawful, or that infringes the intellectual property, privacy or other rights of any person;
  • upload or transmit malware, or any code intended to damage, disable or gain unauthorised access to any system;
  • attack, overload or disrupt the Service or any other tenant of it, including by denial-of-service traffic, automated scraping at scale, or load testing without prior written permission;
  • attempt to access another Workspace, another User's account, or any data you are not authorised to access, or to circumvent authentication, authorisation, tenant isolation, rate limits or other technical controls;
  • probe or scan the Service for vulnerabilities without prior written permission, or reverse engineer the Service except to the extent that restriction is prohibited by mandatory law;
  • resell, sublicense, rent or otherwise commercially exploit the Service or access to it, or use it to provide a competing service.

Suspected vulnerabilities should be reported to support@volent.net rather than exploited.

9. Third-party integrations

The Service can connect to third-party services. Each integration is optional.

Google Sign-In may be offered as an authentication method where the Operator has configured it. Repository integration with GitHub or GitLab is enabled per Workspace by a Workspace administrator.

Where you use an integration, your relationship with that provider is governed by that provider's own terms and privacy notice. The Operator does not control those services and is not responsible for them, for their availability, or for changes they make. A Workspace administrator enabling an integration authorises the exchange of data with it that the integration requires.

10. Intellectual property

The Service, its software, interface, design, documentation and trade marks are and remain the property of the Operator and its licensors. These Terms grant only a limited, non-exclusive, non-transferable, revocable right to use the Service during the term, in accordance with these Terms.

No rights are granted by implication. Feedback you send about the Service may be used by the Operator without restriction or obligation, and sending feedback transfers no rights in Customer Data.

11. Confidentiality

Each party may receive non-public information of the other in connection with the Service. Each party will use the other's confidential information only for the purposes of the Service, and will protect it with at least reasonable care.

Confidential information does not include information that is or becomes public without breach, was already lawfully known to the recipient, or is independently developed. Disclosure required by law is permitted, with notice to the other party where lawful.

These obligations do not replace any separate non-disclosure agreement the parties may sign.

12. Suspension and termination

You may stop using the Service at any time.

The Operator may suspend or terminate access to an account or a Workspace where: these Terms are breached, in particular section 8; use of the Service threatens the security, integrity or availability of the Service or of other tenants; the Operator is required to do so by law; or the Service is discontinued under section 4.

Where practicable, the Operator will notify Workspace administrators by email before suspension or termination, and will limit the measure to what the circumstances require. Where a threat is immediate, the Operator may act first and notify afterwards.

After termination, Customer Data may be deleted. You may delete your own account at any time from within the Service — Profile → Delete account — and the Privacy Policy sets out exactly what that erases and what stays with the Workspace. The Service does not provide a self-service export function, and deleting your account does not delete Workspace content. If you need a copy of Customer Data, or deletion going beyond what the delete-account function performs, request it at support@volent.net; such requests are handled manually by the Operator, as described in the Privacy Policy. Make any request for a copy before deleting, and be aware that the Operator cannot guarantee that data will remain retrievable after an account or Workspace has been deleted.

Sections 5, 6, 10, 11, 13, 14 and 16 survive termination.

13. Warranty disclaimer and limitation of liability

The Service is provided as-is and as-available. To the fullest extent permitted by applicable law, the Operator disclaims all warranties, conditions and representations, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

To the fullest extent permitted by applicable law, the Operator is not liable for indirect, incidental, special or consequential loss, nor for loss of profit, revenue, goodwill, business opportunity, anticipated savings, or for loss or corruption of data, however caused.

To the fullest extent permitted by applicable law, the Operator's total aggregate liability arising out of or in connection with the Service and these Terms is limited, for all claims taken together, to the greater of: (a) the amount paid for the Service, whether to the Operator or to the Merchant of Record, in the twelve months preceding the event giving rise to the claim; and (b) UAH 1,000 (one thousand hryvnias). An amount paid in another currency is converted at the National Bank of Ukraine rate on the date of that payment.

Nothing in these Terms excludes or limits liability that may not be excluded or limited under applicable law, including liability for wilful misconduct, for gross negligence, and for death or personal injury caused by negligence. Where mandatory law does not permit an exclusion or limitation set out above, that exclusion or limitation applies only to the extent permitted.

14. Indemnity

The Customer will defend and indemnify the Operator against third-party claims, and against loss, liability, damages and reasonable costs arising from them, to the extent they arise from Customer Data, from the Customer's or its Users' use of the Service, or from breach of these Terms or of applicable law by the Customer or its Users.

The Operator will notify the Customer of any such claim without undue delay, will not settle it without the Customer's consent, such consent not to be unreasonably withheld, and will provide reasonable cooperation at the Customer's expense.

15. Changes to these Terms

The Operator may amend these Terms, for example to reflect changes to the Service, to its plans, or to legal requirements.

The amended Terms will be published on this page with a new version number and effective date. Where a change is material, the Operator will additionally give notice by email to Workspace administrators or by a notice within the Service, before the change takes effect where practicable.

Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If you do not accept them, stop using the Service and request deletion of your data as described in section 12.

16. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the law of Ukraine.

The courts of Ukraine have jurisdiction over any such dispute.

Where a User uses the Service outside a trade, business or profession and mandatory consumer protection rules of the country of that User's habitual residence grant protection that cannot be derogated from by agreement, those rules are unaffected by this section.
